1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of the website located at https://kateconklin.com (the “Site”) and the coaching/consulting services (the “Services”) offered by Katrinka Sunshine LLC (“Company,” “we,” “us,” or “our”), a limited liability company organized under the laws of the State of California.

By creating an account, booking a session, or otherwise using the Site or Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, do not use the Site or Services.

2. Description of Services

Katrinka Sunshine LLC provides Voice, Movement & Performance Coaching delivered via video call. Services are booked through the Site and are subject to availability.

Technology Requirements. Sessions are conducted virtually via video call. To participate, you are responsible for having a stable internet connection, a working camera and microphone, and a private space with enough room to move safely. We are not responsible for interruptions, poor session quality, or missed session time caused by your equipment, internet connection, or environment. If a session is disrupted or cut short due to a technical failure on our end, we will make reasonable efforts to reschedule or extend a future session at no additional cost; technical issues on your end are not eligible for refund or make-up time, consistent with Section 6.

No Professional or Guaranteed Outcome. Coaching/consulting services are not a substitute for legal, financial, medical, psychological, or other licensed professional advice. We make no guarantees regarding specific results, income, or outcomes from participating in our Services. Your results depend on factors outside our control, including your own effort and circumstances.

3. Assumption of Risk — Physical Activity

Voice, Movement & Performance Coaching may involve physical activity, including but not limited to breathing exercises, vocal warm-ups, stretching, and movement work. By participating in a session, you represent that:

You are physically able to participate in the activities involved in the Services, and you are not aware of any medical condition that would make participation unsafe.
You will participate in a space that is reasonably clear of hazards and appropriate for movement.
You will stop and notify the coach if you experience pain, dizziness, injury, or discomfort during a session.
You understand that all physical activity carries some inherent risk of injury, and you voluntarily assume that risk by participating.

Katrinka Sunshine LLC is not a medical provider, and the Services are not a substitute for medical advice or physical therapy. If you have a medical condition, injury, or concern, please consult a licensed physician before participating in movement-based sessions. To the fullest extent permitted by law, Katrinka Sunshine LLC is not liable for any injury sustained during or as a result of participation in the Services, except where caused by our gross negligence or willful misconduct.

4. User Accounts

To access certain features or book Services, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain the security of your password and accept all risks of unauthorized access
Promptly notify us of any unauthorized use of your account
Be responsible for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in abusive conduct toward our staff or other users.

5. Booking, Payment, and Fees

All Services must be paid in full at the time of booking, prior to the scheduled session.
Prices for Services are as listed on the Site at the time of booking and are subject to change for future bookings.
By submitting payment information, you represent that you are authorized to use the payment method provided.
All fees are in U.S. Dollars unless otherwise stated.

6. Cancellation and Refund Policy

All sales are final, non-refundable and non-transferable. We do not offer refunds once a session or package has been booked and paid for, regardless of whether the Client attends the scheduled session.

We reserve the right to cancel or reschedule a session due to illness, emergency, or unforeseen circumstances, in which case we will offer a make-up session or, at our discretion, a refund for that specific session.

7. Client Responsibilities and Conduct

You agree to:

Provide accurate information relevant to the Services
Attend scheduled sessions on time and prepared
Treat Company staff and other clients with respect
Not record sessions without prior written consent
Not resell, redistribute, or repurpose session content or materials without written permission

We reserve the right to refuse service or terminate the coaching relationship, without refund, in cases of abusive, threatening, or disrespectful conduct.

8. Intellectual Property

All materials provided as part of the Services — including worksheets, frameworks, templates, recordings, and written content — are the intellectual property of Katrinka Sunshine LLC and are licensed to you for personal use only. You may not copy, distribute, sell, or create derivative works from these materials without our prior written consent.

9. Confidentiality

We will treat information you share during coaching/consulting sessions as confidential, except where disclosure is required by law, necessary to prevent harm to you or others, or otherwise agreed in writing. This is not a substitute for a formal confidentiality or privilege that may exist with licensed professionals (e.g., attorneys, therapists).

10. Disclaimers

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR EXPECTATIONS OR PRODUCE ANY PARTICULAR RESULT.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KATRINKA SUNSHINE LLC, ITS OWNERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SITE OR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Katrinka Sunshine LLC and its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or your misuse of the Services.

13. Dispute Resolution — Binding Arbitration

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration, rather than in court, except that either party may bring an individual action in small claims court.

Arbitration will be administered by the American Arbitration Association (AAA) under its applicable rules.
Arbitration will take place in California, or may be conducted remotely/by phone by agreement of the parties.
Class Action Waiver: You and Katrinka Sunshine LLC agree that any arbitration will be conducted on an individual basis only, and not as a class, consolidated, or representative action.
The arbitrator’s decision will be final and binding, subject to any limited right of appeal under the Federal Arbitration Act.
Each party is responsible for its own attorneys’ fees unless the arbitrator determines otherwise or as required by applicable law.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles.

15. Modifications to Terms

We may update these Terms from time to time. We will post the revised Terms on the Site with an updated “Last Updated” date. Continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.

16. Termination

We reserve the right to suspend or terminate your account or access to the Services at any time, for any reason, including violation of these Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Katrinka Sunshine LLC regarding the Site and Services, superseding any prior agreements.
